CONTENT SUBMISSION AGREEMENT

Effective Date: As of each submission's start date

Parties: This Agreement ("Agreement") is made between the submitter ("Contributor") and Bizbio Inc. ("Newsload").

 

1. Introduction

This Agreement outlines the terms under which Contributor submits content to Newsload and grants Newsload the rights to publish that content. Contributor agrees to the terms and conditions set forth herein.

2. Definitions•

"Content" refers to any images or videos submitted by Contributor to Newsload.•"Submission" refers to any Content Contributor sends for consideration for publication.

 

3. Grant of Rights

Contributor grants Newsload a perpetual, irrevocable, royalty-free, worldwide right and license to publish, distribute, and display the Content in any format or medium, including but not limited to online platforms, social media, and print publications.

 

4. Contributor Representations and Warranties

Contributor represents and warrants that

:•The Content is original and does not infringe on any copyright, trademark, or other intellectual property rights of any third party

.•The Content does not violate any laws or regulations.

•Contributor has all rights necessary to grant Newsload the rights granted herein

.•The Content does not contain defamatory, obscene, or unlawful material.

 

5. Indemnification

Contributor agrees to indemnify, defend, and hold harmless Newsload, its affiliates, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of Contributor's representations and warranties in this Agreement, or any claims related to the Content.

 

6. No Liability

Newsload shall not be liable for any errors, omissions, or inaccuracies in the Content, nor for any damages arising from the publication of the Content. Contributor acknowledges that Newsload does not endorse any opinions expressed in the Content and is not responsible for the consequences of its publication or distribution.

 

7. Editorial Rights

Newsload reserves the right to edit, modify, or reject any Content submitted for publication, at its sole discretion, and without obligation to provide any reasons for such actions.

 

8. Governing Law

This Agreement shall be governed by the laws of Ontario Canada without regard to its conflict of law principles.

9. Amendment

This Agreement may only be amended in writing signed by both parties.

 

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to its subject matter and supersedes all prior agreements or understandings, whether written or oral.

 

By confirming this submission the Contributor agrees to all the terms and conditions set forth within it.
